This is a skill contest, not a sweepstakes or lottery. Winners are determined by skill, not by chance. By participating in any GhostCode Portland Cash Hunt event ("Contest"), you agree to be bound by these Official Rules and by the decisions of Moonsail Software LLC ("Sponsor"), which are final and binding in all matters relating to the Contest.

1. Sponsor

The Contest is sponsored by Moonsail Software LLC, doing business as Northbound Apps ("Sponsor"). Contact: [email protected].

2. Contest Period and Per-Drop Announcements

The Contest is conducted as a series of individual events, each referred to as a "Drop." Each Drop has its own start time, end time, prize amount, and geographic boundaries within the Portland, Oregon metropolitan area. The specific details for each Drop will be announced on Sponsor's social media accounts (including but not limited to TikTok, Instagram, Facebook, and YouTube) in the post that initiates the Drop ("Announcement Post"). The Announcement Post for each Drop is incorporated into and forms part of these Official Rules for that Drop.

If any term of an Announcement Post conflicts with these Official Rules, these Official Rules will control, except that the prize amount, start time, end time, and geographic boundaries stated in the Announcement Post will control for that specific Drop.

3. Eligibility

To be eligible to participate, you must:

The Contest is not open to: employees, contractors, officers, members, or owners of Sponsor; their immediate family members (spouse, parents, siblings, children) or members of the same household, whether related or not; or anyone professionally involved in the production, administration, or promotion of the Contest.

The Contest is void where prohibited by law. Participation constitutes your representation that you meet all eligibility requirements.

4. How to Enter and How to Win

Each Drop is conducted as a skill-based puzzle that proceeds as follows:

  1. Sponsor posts an Announcement Post containing (a) a video or image showing the location of an initial GhostCode Protected QR code placed in a publicly accessible location within the Portland, Oregon metropolitan area, and (b) the password needed to decrypt that QR code.
  2. Participants who recognize the location may travel to it, scan the QR code using the GhostCode App, and enter the password to decrypt the message.
  3. The decrypted message contains a clue or link leading to the next location in a chain of one or more additional QR codes.
  4. The final QR code in the chain reveals the location of the cash prize.
  5. The first eligible participant to physically locate and take possession of the cash prize at the final location is the winner of that Drop.

The skill elements of the Contest include: identifying physical locations from visual clues; traveling to and locating QR codes in public spaces; using the GhostCode App to scan and decrypt QR codes; and persisting through a multi-step puzzle. The outcome of each Drop depends on the participant's skill, knowledge of the area, observational ability, and effort.

No payment, donation, or in-app purchase is required to enter, participate, or win. The functionality required to participate — installing the App, scanning a Protected QR code, and decrypting a message with a password — is available in the free version of the App. The optional "Ghost Mode" subscription is not required to participate.

Standard wireless carrier data and message rates may apply to your use of the App and to traveling to Drop locations; these costs are your responsibility and do not constitute consideration paid to Sponsor.

5. The App

The GhostCode mobile application is required to scan and decrypt the Protected QR codes used in the Contest. The App is available for free download from the Apple App Store and the Google Play Store. There is no charge for downloading the App, and no in-app purchase is required to participate in or win the Contest. Use of the App is governed by the GhostCode Terms of Use and Privacy Policy.

Sponsor is not responsible for any device incompatibility, software malfunction, lost or interrupted network connection, or other technical issue that may prevent any individual from successfully installing or using the App.

6. Prize

The prize for each Drop is a cash prize in U.S. dollars in the amount stated in the Announcement Post for that Drop. No Drop will offer a prize exceeding U.S. $1,999. There is one (1) prize per Drop. Limit one (1) prize per person per Drop. The prize is non-transferable and may not be substituted, except that Sponsor reserves the right to substitute a prize of equal or greater value if the originally announced prize is unavailable for any reason.

The total approximate retail value of the prize is equal to the cash amount stated in the Announcement Post. Odds of winning depend on the number of eligible participants and on each participant's skill and effort.

If a winner is unable or unwilling to claim the prize at the final Drop location, or fails to comply with these Official Rules, Sponsor may, in its sole discretion, award the prize to the next eligible participant or treat the prize as unclaimed.

7. Winner Verification and Claim

Possession of the cash prize at the final Drop location is presumptive evidence of winning, subject to verification by Sponsor. To be confirmed as the winner, the participant who takes possession of the cash must, within seventy-two (72) hours of doing so:

Failure to comply with these verification requirements may, at Sponsor's discretion, result in disqualification and forfeiture of the prize.

8. Taxes

All federal, state, and local taxes, fees, and other costs and obligations associated with acceptance or use of the prize are the sole responsibility of the winner. Where required by law, the winner will be required to complete and return a Form W-9 before the prize can be released, and Sponsor may issue an IRS Form 1099-MISC reporting the prize.

9. Participant Conduct, Safety, and Lawful Behavior

Your safety is your responsibility. By participating, you agree to:

Sponsor does not place QR codes on private property without permission, but a publicly visible QR code may be located near private property. It is your responsibility to determine whether you may lawfully access any location. If in doubt, do not enter. Sponsor will not be liable for any decision by a participant to enter property unlawfully or to take any other unlawful action in connection with the Contest.

Sponsor reserves the right, in its sole discretion, to disqualify any participant who Sponsor believes has violated these Official Rules, behaved unlawfully or unsafely, or attempted to defraud, hack, or otherwise compromise the integrity of the Contest.

10. Release of Liability and Assumption of Risk

By participating in the Contest, you acknowledge and agree that the Contest involves physical activity in public outdoor environments, including walking, driving, and being in public spaces, and that participation carries inherent risks including but not limited to: traffic accidents; slips, trips, and falls; weather; interactions with the public; and injury to property or person.

You knowingly and voluntarily assume all risks of participation. To the fullest extent permitted by applicable law, you release, discharge, and hold harmless Sponsor, its members, officers, employees, contractors, agents, and affiliates, and each social media platform on which the Contest is promoted, from any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your participation in the Contest, your acceptance, use, or misuse of the prize, your travel to or presence at any location, or any act or omission by you or any third party in connection with the Contest.

Sponsor is not responsible for: lost, late, misdirected, illegible, incomplete, garbled, or interrupted entries or communications; technical failures of any kind; printing, typographical, or other errors in any Contest-related materials; or any human or technical error that may occur in the administration of the Contest.

11. Publicity

Except where prohibited by law, by accepting a prize, the winner consents to Sponsor's use of the winner's name, likeness, voice, image, biographical information, statements, and the fact of winning, in any media now known or later developed, worldwide, in perpetuity, for advertising, promotional, and trade purposes, without further notice, review, approval, or compensation. Sponsor will use commercially reasonable efforts to avoid disclosing personal information about the winner that the winner has asked to be kept confidential.

12. Privacy

Personal information collected from participants in connection with the Contest will be used solely to administer the Contest, verify the winner, deliver the prize, and comply with applicable tax and legal obligations. Sponsor will not sell or rent personal information collected for the Contest. See the GhostCode Privacy Policy for information about how Sponsor handles personal data collected through the App.

13. Platform Disclaimer

This Contest is in no way sponsored, endorsed, administered by, or associated with TikTok, Instagram, Meta Platforms, Inc., Facebook, YouTube, Google LLC, Apple Inc., or any other social media platform or app store on which it is promoted. By participating, you release each of those platforms from any and all liability associated with the Contest. You provide your information to the Sponsor, not to any platform.

14. Modification, Suspension, and Termination

Sponsor reserves the right, in its sole discretion, to modify, suspend, terminate, or cancel any Drop, or the Contest as a whole, at any time and for any reason, including but not limited to: tampering or fraud; technical failure; safety concerns; weather; force majeure; legal or regulatory developments; or any cause that, in Sponsor's reasonable judgment, threatens the integrity, fairness, safety, or lawful conduct of the Contest. If a Drop is cancelled before a winner is determined, no prize will be awarded for that Drop, and Sponsor will have no further obligation in connection with that Drop.

Sponsor may also update these Official Rules from time to time. The "Last updated" date at the top of this page reflects the most recent revision. The version of these Official Rules in effect at the time of an Announcement Post governs that Drop.

15. Governing Law and Disputes

These Official Rules are governed by the laws of the State of California, without regard to its conflict-of-law provisions, except that nothing in these Official Rules limits any non-waivable consumer-protection right you have as a resident of the State of Oregon under Oregon law, including without limitation ORS chapter 646A. Any dispute arising out of or relating to these Official Rules or the Contest that is not resolved informally will be brought exclusively in the state or federal courts located in San Diego County, California, or, where required by Oregon law for an Oregon resident, in a court of competent jurisdiction in Multnomah County, Oregon, and you consent to the personal jurisdiction of those courts.

To the fullest extent permitted by law, you agree that any claim arising out of or relating to the Contest will be resolved on an individual basis and not as part of any class, collective, or representative proceeding.

16. Severability

If any provision of these Official Rules is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect.
